1. Introduction

  • "Authorized Personnel" means employees, contractors, or agents of Cooked Ham LLC who have been granted access to internal Services.
  • "Content" means any text, graphics, images, software, data, or other materials available through our Services.
  • "Internal Systems" means software, platforms, and infrastructure operated by Cooked Ham LLC for its own operational purposes.

3. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into these Terms. Access to internal Services is restricted to Authorized Personnel only. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure.

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach at support@cookedham.llc.

4. Description of Services

Cooked Ham LLC develops and maintains software infrastructure, automation tools, system-monitoring platforms, and related technology products. Public-facing Services include our company website and project documentation. Internal Services include operational dashboards, alert systems, and development environments accessible only to Authorized Personnel.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

5. User Conduct and Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or these Terms;
  • Infringe upon the intellectual property rights of others;
  • Transmit any viruses, malware, or other harmful code;
  • Attempt to gain unauthorized access to any part of our Services or systems;
  • Interfere with or disrupt the integrity or performance of our Services;
  • Harvest, collect, or store personal data about other users without consent.

6. Intellectual Property Rights

All Content, software, designs, logos, trademarks, and other materials available through our Services are the property of Cooked Ham LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or Content without prior written consent.

Open-source projects published by Cooked Ham LLC are subject to their respective license terms, which are available in each project's repository.

7. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. We collect and process personal data in accordance with applicable data protection laws. For details on how we handle your information, please review our Privacy Policy.

For Authorized Personnel, internal system data is handled under company data governance policies and is not shared with third parties for marketing purposes.

8. Confidentiality

Authorized Personnel may have access to confidential, proprietary, or trade secret information belonging to Cooked Ham LLC. You agree to maintain the confidentiality of such information and not disclose it to any third party without prior written authorization. This obligation survives termination of your access.

9. Third-Party Services and Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Cooked Ham LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by use of or reliance on any such content, goods, or services.

10. SMS Messaging Terms

Cooked Ham LLC sends SMS messages exclusively to Authorized Personnel who have opted in to receive internal operational notifications through our internal alert directory. These messages are strictly non-marketing and are triggered solely by system events, scheduled tasks, and infrastructure monitoring. Message frequency varies based on system events and scheduled automation tasks; typically fewer than 50 message segments per day. Standard message and data rates from your carrier may apply. No charges are assessed by Cooked Ham LLC.

Recipients provide explicit consent during employee onboarding or IT device registration by submitting their mobile number to the internal alert directory. Consent is documented via a written internal policy acknowledgment before any message is sent. Enrollment is restricted to active personnel with a documented business need for infrastructure and system alerts.

You can cancel SMS messages at any time by replying STOP to the number you receive messages from. You will receive a confirmation message, and your number will be removed from our messaging list within 24 hours. No further messages will be sent unless you opt in again. SMS consent is not a condition of purchase. Cooked Ham LLC does not sell or share SMS opt-in information with third parties for any purpose.

Carriers are not liable for delayed or undelivered messages. Cooked Ham LLC is not responsible for delayed or undelivered messages caused by carrier network issues.

11. Disclaimer of Warranties

ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COOKED HAM LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us, if any, during the twelve (12) months immediately preceding the event giving rise to liability.

13. Indemnification

You agree to defend, indemnify, and hold harmless Cooked Ham LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

14. Termination

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be resolved exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction and venue of such courts.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Cooked Ham LLC concerning the Services and supersede all prior or contemporaneous agreements, proposals, or representations, whether oral or written.
